TERMS AND CONDITIONS<\/h1>\n

These Terms and Conditions (\u201cTerms\u201d) govern your access to and use of the website www.flashflowtech.com (\u201cWebsite\u201d) and the software products and related services made available by Flashflow Technologies OPC Private Limited (\u201cCompany\u201d, \u201cwe\u201d, \u201cus\u201d or \u201cour\u201d), a company incorporated in India with its registered office at 15-6-260, Manikya, Arya Samaj Road, Mangalore \u2013 575003, Karnataka, India.<\/p>\n

Our principal product is StarFlow, a desktop astrophotography image-processing application. By accessing the Website, or by downloading, purchasing, activating or using StarFlow or any of our products or services (together, the \u201cServices\u201d), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not access the Website or use the Services.<\/p>\n

Note on other products: the Company may introduce additional products or services in future. Where a product or service has its own separate terms, licence agreement or policy, those additional terms apply to that product in addition to (and, in case of conflict, in preference to) these Terms for that product. In particular, your use of StarFlow is also governed by the StarFlow End User Licence Agreement (\u201cEULA\u201d) provided with the software.<\/p>\n

1. Eligibility<\/h2>\n

You must be capable of forming a legally binding contract under the Indian Contract Act, 1872 to use the Services. By using the Services you represent that you meet this requirement and that the information you provide to us is accurate and complete.<\/p>\n

2. Licence to use StarFlow<\/h2>\n

StarFlow is licensed, not sold. When you purchase a StarFlow licence, you receive a licence to use the software in accordance with the StarFlow EULA and the licence tier you purchased (which determines, among other things, the number of devices on which the software may be activated). The EULA governs the scope of your licence, permitted and prohibited uses, activation, and the ownership of intellectual property in the software. In the event of any conflict between these Terms and the EULA regarding the software itself, the EULA prevails.<\/p>\n

Licence keys are issued to you for your own use. You must not share, resell, sublicense, publish or transfer your licence key except as expressly permitted by the EULA.<\/p>\n

3. Accounts, licence keys and security<\/h2>\n

Certain Services may require you to provide information such as your name and email address in order to issue and support your licence. You are responsible for keeping your licence key and any account credentials confidential, and for activity that occurs under them. Please notify us promptly at info.flashflowtech@gmail.com<\/a> if you believe your licence key or account has been compromised. We may suspend or revoke a licence where we reasonably believe it has been shared, misused, or used in breach of these Terms or the EULA.<\/p>\n

4. Purchases, pricing and payment<\/h2>\n

Prices for the Services are as stated at the point of purchase and are subject to change without notice; the price applicable to your purchase is the price displayed at the time you complete that purchase. Payments are processed by our third-party payment gateway, Razorpay (Razorpay Software Private Limited), subject to Razorpay\u2019s own terms and privacy policy. We do not receive or store your full payment-card details. You agree to provide accurate payment and contact information, and you authorise us (through our payment gateway) to charge the applicable amount for the Services you purchase.<\/p>\n

5. Delivery of the software<\/h2>\n

StarFlow is delivered digitally. On successful payment, your licence key and a link to download the software are made available to you (typically by email to the address you provide). No physical product is shipped. It is your responsibility to provide a correct email address and to ensure your system meets the stated requirements to download, install and run the software.<\/p>\n

6. Refunds<\/h2>\n

Refunds for StarFlow are governed by our Refund Policy, which forms part of these Terms. In summary, because a free trial is available to evaluate the software before purchase, refunds are available within 14 days of purchase where the software does not function substantially as described. Please refer to the Refund Policy for full details and eligibility.<\/p>\n

7. Updates and changes to the Services<\/h2>\n

We may update, modify, suspend or discontinue any aspect, feature or functionality of the Website or the Services at our discretion. We may make updates to StarFlow available from time to time; the terms on which updates are provided are set out in the EULA. We make no commitment to maintain or continue any particular aspect of the Services indefinitely.<\/p>\n

8. Acceptable use<\/h2>\n

You agree not to: (a) use the Services for any unlawful purpose or in breach of these Terms or the EULA; (b) attempt to circumvent, disable or interfere with the licensing, activation or security features of the software except to the limited extent permitted by applicable law or the EULA; (c) resell, redistribute or make the software or your licence key available to others except as permitted by the EULA; or (d) interfere with or disrupt the Website, the licensing servers, or other users\u2019 use of the Services.<\/p>\n

9. Intellectual property<\/h2>\n

The Website, the Services, StarFlow, and all associated content, software, and materials are owned by the Company or its licensors and are protected by applicable intellectual property laws. Except for the licence expressly granted to you under the EULA, no right, title or interest in the Services is transferred to you. Open- source components included in StarFlow are provided under their own licences, as described in the third-party notices supplied with the software.<\/p>\n

10. Feedback<\/h2>\n

Any feedback, suggestions or ideas you provide about the Services shall be deemed non-confidential, and you grant us the right to use them without restriction or obligation to you. You represent that your feedback does not contain confidential or proprietary information of any third party, and you acknowledge that we may already be considering or developing something similar.<\/p>\n

11. Disclaimer of warranties<\/h2>\n

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, THE SOFTWARE AND THE SERVICES ARE PROVIDED ON AN \u201cAS IS\u201d AND \u201cAS AVAILABLE\u201d BASIS WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR- FREE, OR THAT THE RESULTS OBTAINED FROM THE SOFTWARE WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law, including applicable consumer-protection law.<\/p>\n

12. Limitation of liability<\/h2>\n

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES. The Company shall not be responsible for any loss or damage to your hardware, software or data resulting from your use of the Services, except to the extent such loss is caused by our gross negligence or wilful misconduct or cannot be excluded under applicable law. Nothing in these Terms limits liability that cannot be limited under applicable law.<\/p>\n

13. Indemnity<\/h2>\n

You agree to indemnify and hold harmless the Company and its officers, directors, employees and agents from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from: (i) your use of the Services; (ii) your breach of these Terms or the EULA; or (iii) your violation of any law or any third-party right. This obligation survives termination of these Terms.<\/p>\n

14. Suspension and termination<\/h2>\n

We may suspend or terminate your access to the Services, and revoke a licence, if you breach these Terms or the EULA, or where we are required to do so by law. On termination, the licence granted to you ends and you must stop using the software. Provisions which by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity and governing law) shall survive.<\/p>\n

15. Governing law and jurisdiction<\/h2>\n

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to any applicable consumer- protection law that entitles you to bring proceedings elsewhere, the courts at Mangalore, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.<\/p>\n

16. General<\/h2>\n

Notice: We may give notice to you by email to the address associated with your purchase or by a notice on the Website. Any notice to us should be sent to info.flashflowtech@gmail.com<\/a>.<\/p>\n

Entire agreement: These Terms, together with the Privacy Policy, the Refund Policy, and (for StarFlow) the EULA, constitute the entire agreement between you and the Company regarding your use of the Website and the Services.<\/p>\n

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.<\/p>\n

Severability: If any provision of these Terms is held unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.<\/p>\n

Waiver: Our failure to enforce any provision of these Terms shall not be a waiver of that provision or of any other right.<\/p>\n

Relationship: Nothing in these Terms creates any employment, agency, partnership, joint venture or franchise relationship between you and the Company.<\/p>\n

Changes to these Terms: We may amend these Terms from time to time. Changes take effect when posted on the Website, and your continued use of the Services after changes are posted constitutes acceptance of the amended Terms. Please review these Terms periodically.<\/p>\n
